1) Who we are

BlueDevLabs Ltd (“we”, “us”) is a UK-based web studio specialising in full-stack web development and modern website design. Company No: 16700192. Registered office: 82A James Carter Road, Mildenhall, United Kingdom, IP28 7DE. Contact: contact@bluedevlabs.com.

2) Scope of services

We provide website design, full-stack development, integrations, deployment, and support as described in project proposals, statements of work, or agreed emails (“Project Documents”). Any items not expressly included are out of scope and may require a change request (see Section 4).

3) Quotes, fees & payment

  • Pricing may be fixed per milestone or time-and-materials, as set out in the Project Documents.
  • Invoices are due within 7 calendar days unless otherwise stated. We may pause delivery for overdue accounts.
  • Late payment interest may accrue at the statutory rate under the UK Late Payment of Commercial Debts (Interest) Act 1998.
  • Third-party costs (e.g., hosting, licences, domains, APIs, payment gateways) are your responsibility unless agreed otherwise.

4) Deliverables, change control & acceptance

You’ll have an opportunity to review deliverables at each milestone. A deliverable is deemed accepted if no material issues are raised within 7 days of delivery. Changes or additions requested after scope sign-off may be quoted and scheduled separately via a written change request. We will remedy defects that materially breach the agreed specification.

5) Your responsibilities

  • Provide timely access, content, decisions, and approvals needed to progress the project.
  • Ensure content you supply is accurate, lawful, and does not infringe third-party rights.
  • Maintain your own backups and security for infrastructure you control (hosting, DNS, CMS logins, etc.).

6) Intellectual property

  • Upon full payment, you receive a non-exclusive licence to use the deliverables for your business as described in the Project Documents.
  • We may reuse general know-how, frameworks, and non-client-specific tooling created or refined during the project.
  • Third-party materials remain subject to their own licences and terms.

7) Acceptable use

You must not use our work for unlawful activities, to infringe rights, or to disrupt services. You are responsible for your users and content on your systems.

8) Warranties, support & disclaimers

We will perform services with reasonable skill and care. Unless a support/maintenance plan is agreed in writing, post-launch changes and fixes are chargeable. All other warranties (including fitness for a particular purpose) are excluded to the extent permitted by law.

9) Accessibility, SEO & third-party services

We follow good-practice implementation as specified in the Project Documents. Search rankings, ad performance, or third-party service behaviour (e.g., cloud/host/CDN/CMS/plugin updates) are outside our control and not guaranteed. Third-party services are governed by their own terms and are your responsibility unless agreed otherwise.

10) Liability

We are not liable for indirect, incidental, or consequential loss, loss of profit, or data loss. Our total aggregate liability for all claims arising out of or in connection with the services is limited to the fees paid for the specific work giving rise to the claim.

11) Confidentiality

Each party will keep confidential information received from the other confidential and use it only for the project, except where disclosure is required by law or by a competent authority.

12) Data protection

Where we process personal data on your behalf, we will do so under your instructions and in line with our Privacy Policy. A separate Data Processing Addendum can be provided on request.

13) Subcontractors

We may engage vetted subcontractors and remain responsible for their work.

14) Termination

Either party may terminate for a material breach not remedied within 14 days of written notice. You will pay for work completed up to termination and any non-cancellable costs.

15) Force majeure

Neither party is liable for delays or failure to perform due to events beyond reasonable control (e.g., outages, strikes, acts of God), provided reasonable steps are taken to mitigate.

16) Publicity

Unless you object in writing, we may reference your project in our portfolio and case studies without disclosing confidential details.

17) Governing law

These terms are governed by the laws of England & Wales. The courts of England & Wales shall have exclusive jurisdiction.
