Terms of Service
Effective from:
1. Parties and interpretation
These Terms of Service ("Terms") govern all engagements between BlueDevLabs Ltd (company number 16700192, registered office at 82A James Carter Road, Mildenhall, United Kingdom, IP28 7DE) ("the Company", "we", "us") and the client commissioning work ("you", "the Client").

2. Scope of services
The Company provides website design, full-stack web development, system integration, deployment, managed hosting, and ongoing support as described in project proposals, statements of work, or correspondence expressly agreed between the parties (collectively, "Project Documents"). Any work not expressly described within the Project Documents falls outside the agreed scope and may be subject to a separate quotation under Section 4.
3. Quotations, fees, and payment
- Fees shall be quoted on a fixed-price or time-and-materials basis as specified in the Project Documents.
- Unless otherwise agreed in writing, invoices are payable within 7 calendar days of issue. The Company reserves the right to suspend delivery of services in respect of any overdue account.
- Interest on late payments shall accrue at the statutory rate prescribed by the Late Payment of Commercial Debts (Interest) Act 1998.
- Third-party costs, including but not limited to hosting, domain registration, software licences, API subscriptions, and payment gateway fees, shall be borne by the Client unless expressly agreed otherwise in the Project Documents.
4. Deliverables, change control, and acceptance
The Client shall be afforded a reasonable opportunity to review deliverables at each agreed milestone. A deliverable shall be deemed accepted unless the Client raises material objections in writing within 7 days of delivery.
Requests for changes or additions to the agreed scope following sign-off shall constitute a change request. Change requests will be assessed, quoted, and scheduled separately, and no obligation to commence additional work shall arise until both parties have agreed the revised scope and fee in writing.
The Company shall use reasonable endeavours to remedy any defect that materially departs from the agreed specification.
5. Client obligations
- Provide timely access, content, information, decisions, and approvals reasonably required for the Company to progress the project.
- Warrant that all content, materials, and data supplied to the Company are accurate, lawful, and do not infringe upon the intellectual property or other rights of any third party.
- Maintain adequate backups and security measures for infrastructure within the Client's own control, including but not limited to hosting environments, DNS records, and CMS credentials.
6. Intellectual property
- Upon receipt of full and final payment, the Client shall be granted a perpetual, non-exclusive, non-transferable licence to use the deliverables for the purposes described in the Project Documents.
- The Company retains the right to reuse general methodologies, frameworks, libraries, and non-client-specific tools and techniques developed or refined during the engagement.
- Third-party components incorporated into any deliverable shall remain subject to their respective licence terms.
7. Acceptable use
The Client shall not use the deliverables or any services provided by the Company in furtherance of any unlawful activity, to infringe upon the rights of any third party, or to disrupt the operation of any system or service. The Client is solely responsible for the conduct of its users and the content published on systems within its control.
8. Warranties, support, and disclaimers
The Company warrants that services shall be performed with reasonable skill and care in accordance with generally accepted industry standards. Unless a support or maintenance agreement has been entered into in writing, all post-launch modifications, updates, and remedial work shall be chargeable at the Company's prevailing rates.
Save as expressly set out herein, all warranties, conditions, and representations, whether express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose), are excluded to the fullest extent permitted by applicable law.
9. Third-party services, accessibility, and SEO
The Company shall implement accessibility and search engine optimisation measures in accordance with the specification agreed in the Project Documents. However, no guarantee is given in respect of search engine rankings, advertising performance, or the continued operation, compatibility, or availability of any third-party service, platform, or API.
Third-party services are governed by their own terms and conditions. Responsibility for compliance with such terms rests with the Client unless expressly agreed otherwise.
10. Limitation of liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential loss or damage, including but not limited to loss of profit, loss of revenue, loss of data, or loss of business opportunity, howsoever arising.
The Company's total aggregate liability in respect of all claims arising out of or in connection with the services shall not exceed the total fees paid by the Client for the specific engagement giving rise to the claim.
Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability which cannot lawfully be excluded or limited.
11. Confidentiality
Each party undertakes to keep confidential all information of a confidential nature received from the other party in connection with the engagement and shall not disclose such information to any third party without prior written consent, save where disclosure is required by law, regulation, or order of a court or competent authority.
12. Data protection
Where the Company processes personal data on behalf of the Client, it shall do so in accordance with the Client's documented instructions and the Company's Privacy Policy. A Data Processing Addendum compliant with the UK General Data Protection Regulation is available upon request.
13. Subcontractors
The Company may engage suitably qualified subcontractors to perform elements of the services. The Company shall remain fully responsible for the performance of any subcontracted work as if it had been performed by the Company directly.
14. Termination
Either party may terminate the engagement by giving written notice if the other party commits a material breach of these Terms and fails to remedy that breach within 14 days of receiving written notice specifying the breach.
Upon termination, the Client shall pay for all work completed and any non-cancellable commitments reasonably incurred by the Company up to the effective date of termination.
15. Force majeure
Neither party shall be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control, including but not limited to acts of God, industrial action, civil unrest, government action, or failure of third-party infrastructure. The affected party shall take all reasonable steps to mitigate the effect of such circumstances.
16. Publicity
Unless the Client objects in writing prior to commencement of the engagement, the Company may reference the project in its portfolio, case studies, and marketing materials, provided that no confidential information is disclosed.
17. Governing law and jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales in respect of any dispute arising out of or in connection with these Terms.
